By-Laws of the Sand Hill Settlement Historical
Society
Article I – Name
The name of this organization shall be the Sand Hill
Settlement Historical Society and its mailing address shall be 415
Riverside Street, Climax, Minnesota
56523. It shall operate as a nonprofit corporation in accordance with
Minnesota Statutes 1989, Chapter 317 and 317A and in compliance with Section
501(c)(3) of the U.S. Federal Internal Revenue Code.
Article II – Purpose
- The
purpose of this Society shall be to establish and maintain a working
pioneer farmstead and to enhance the knowledge and appreciation of our
local history through preservation and education. The working pioneer
farmstead shall be made up of original log buildings and other artifacts
of the settlers of our locale.
- This
organization shall have the power to own property, to apply for and
receive grants, to accept bequests and donations, and may establish and
endowment fund for carrying out the above stated purposes.
Article III – Membership
Any person may join the Sand Hill Settlement Historical
Society upon receipt by the treasurer of the first payment of annual dues
entitling them to attend and vote at board meetings. In addition, non-voting
associate memberships shall be offered to businesses and organizations. The
board of directors shall set the amount for dues and other possible categories
of membership.
Article IV – Meetings
- The
Sand Hill Settlement Historical Society shall have regular monthly
meetings held the third Thursday of each month at 8:00 PM in the Climax
Public Library until time or place is changes by the board of directors.
- Annual
meetings shall be held each January at the time and place of the regularly
scheduled monthly meeting.
- Special
meetings may be called by a consensus of a quorum of the board and all
board members must be notified by mail at least five days in advance.
- Meetings
shall be run in accordance with Robert’s Rules of Order. No regular,
annual, or special meetings may be held without a quorum of board members
present. A quorum consists of at least five members.
Article V – Government
- The
fiscal year for the Sand Hill Settlement Historical Society shall run from
1 January to 31 December.
- A
board of directors shall run the Sand Hill Settlement Historical Society.
In order to encourage participation of members and owing to our small
membership, any dues paying member is entitled to attend regular, annual,
and special board meetings and is entitled to vote on any business acted
upon; therefore, any dues-paying member is a director. Should membership
increase in the future the board may at an annual meeting set up a smaller
board of directors to run the Society.
- Dues
paying members are entitled to one vote. Proxy votes may not be cast.
- The
Sand Hill Settlement Historical Society shall have officers consisting of:
President – who presides and conducts meetings of the
Society.
Vice President – who assumes the duties of the President in
his or her absence.
Secretary – who shall keep minutes of meetings, report at
each meeting, carry on correspondence of the society, and preserve records of
the Society.
Treasurer – who shall collect dues and donations and keep a
list of paid members. The treasurer shall keep and account of all funds and
accounts of the Society and make monthly and annual reports of the same. The
treasurer shall pay out funds of the Society upon presentation of bills
approved by the board of directors.
- The
above four officers may act as signators of the Society.
- An
officer is elected from the roll of dues paying members at the annual
meeting for a one-year term. The are no limits to the number of terms a
member may serve, however, an officer may be removed from office by a
two-thirds votes of the membership present at any meeting. This officer
shall be given opportunity to speak on his or her own behalf before such
vote.
- Affairs
of the Society shall be administered by the board of directors at regular,
annual, and special meetings in accordance with Robert’s Rules of Order.
The board shall establish policies in accordance with and in order to
accomplish the objectives stated in Article II.
Article VI – Amendments
Amendments to these By-Laws or to the Articles of
Incorporation may be proposed in writing and filed with the secretary by any
three members. The secretary shall notify all members in writing of the
proposed amendments at least two weeks prior to the regular, annual, or special
meeting when the proposed amendment is considered. Amendments may be adopted by
a two-thirds vote of the members present, provided a quorum is present.
